These terms govern your use of the Prospera website and participation in our corporate financial wellness services. Please read them carefully before engaging with our programmes.
1.Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement"
- These Terms and Conditions, together with any service proposal or engagement letter.
- "We / Us / Our"
- Prospera, registered at No. 30, Jalan Plumbum, 40000 Shah Alam, Selangor, Malaysia.
- "You / User"
- Any company, HR representative, or individual accessing our website or engaging our services.
- "Services"
- Corporate financial wellness programmes, workshops, memberships, and advisory engagements offered by Prospera.
- "Content"
- Materials, presentations, handouts, worksheets, and digital resources produced by Prospera.
2.Acceptance of Terms
By accessing our website at prosperas.live, submitting an enquiry form, or entering into a service engagement with Prospera, you confirm that:
- You are at least 18 years of age and have the capacity to enter into a binding agreement
- You are acting on behalf of an organisation with authority to bind that organisation
- You have read, understood, and agree to be bound by these Terms and Conditions
If you do not agree with any part of these terms, please discontinue use of our website and services.
3.Description of Services
Prospera provides the following corporate financial wellness services to organisations in Malaysia:
Lunch-and-Learn Workshop — RM 600 per session
A single on-site or online workplace session covering everyday budgeting and saving habits, with practical takeaways for staff.
Workplace Programme Membership — RM 1,900 per cycle
An ongoing series of money-literacy workshops with HR-ready materials and an advisory line for structuring a wellbeing curriculum.
Enterprise Wellness Advisory — RM 4,600 per engagement
A comprehensive strategy engagement designing a full staff money-literacy programme, including curriculum planning, materials, and certificates of attendance.
Service availability is subject to scheduling capacity. We reserve the right to modify, reschedule, or discontinue services with reasonable notice.
4.User Responsibilities
When engaging our services or using our website, you agree to:
- Provide accurate and complete information in all communications and forms
- Use our website and content only for lawful, professional purposes
- Not reproduce, distribute, or resell our materials without written consent
- Not disrupt or interfere with the operation of our website or systems
- Ensure a suitable venue and participant communication when hosting on-site sessions
Misuse of our content or platform may result in termination of the engagement and pursuit of applicable remedies.
5.Intellectual Property
All content produced and delivered by Prospera — including workshop slides, handouts, frameworks, and website content — remains the intellectual property of Prospera unless otherwise agreed in writing.
Upon engaging a service, you are granted a limited, non-exclusive, non-transferable licence to use delivered materials for internal staff education purposes within your organisation.
You may not reproduce, sell, adapt, or publicly distribute our materials without prior written authorisation from Prospera.
6.Payment Terms
- All fees are quoted in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless stated
- Payment terms will be set out in the service proposal or invoice provided to you
- Invoices are due within 14 days of the invoice date unless separately agreed
- Late payments may incur a reasonable administrative charge
Cancellation policy: Cancellations made more than 5 business days before a scheduled session will receive a full refund. Cancellations within 5 business days may be subject to a partial charge to cover preparation costs incurred. Rescheduling is accommodated where operationally possible.
7.Service-Specific Terms
Workshop Sessions
Session dates, times, and delivery format (on-site or online) are agreed at booking. Changes requested within 3 business days of a session may not be accommodated. Certificates of attendance, where included, are issued to registered participants only.
Programme Membership
Membership covers one programme cycle as defined in the service proposal. HR advisory calls are limited to the scope described in the proposal. Unused sessions within a cycle do not carry forward.
Enterprise Advisory
Advisory engagements proceed according to a mutually agreed scope of work. Material revisions beyond two rounds may be subject to additional fees. Final deliverables are provided upon full payment.
8.Disclaimers
Educational Content Only: All content delivered by Prospera is general educational information intended to support staff money literacy. It does not constitute personalised financial advice, investment recommendations, or any regulated financial service.
- Our services are provided on an "as available" basis without warranties of any specific outcome
- Individual financial situations vary; programme content may not be applicable to every participant
- We are not responsible for decisions made by participants based on workshop content
- Website content is provided for informational purposes and may not reflect the most current developments
9.Limitation of Liability
To the extent permitted by Malaysian law, Prospera's aggregate liability to you for any claim arising out of or in connection with our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.
We shall not be liable for indirect, consequential, or incidental losses, including but not limited to lost profits, loss of data, or reputational harm arising from the use of our services or website.
Force majeure: We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
10.Indemnification
You agree to indemnify and hold Prospera harmless from any claims, losses, costs, or damages arising from your misuse of our services, breach of these Terms, or violation of any applicable law or third-party rights.
11.Termination
Either party may terminate a service engagement with written notice as specified in the service proposal. Prospera reserves the right to suspend or terminate access to our website or services without notice in cases of material breach of these Terms.
Upon termination, clauses relating to intellectual property, disclaimers, liability, and dispute resolution shall survive.
12.Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. The parties agree to first attempt to resolve disputes through good-faith negotiation. If resolution is not reached within 30 days, disputes shall be referred to the courts of Malaysia, with jurisdiction in Selangor.
13.General Provisions
- Entire Agreement: These Terms, together with any service proposal, constitute the full agreement between the parties.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce a right does not constitute waiver of that right.
- Assignment: You may not assign your rights under these Terms without our prior written consent.
- Notices: Formal notices should be sent in writing to the address below or via email to [email protected].
14.Changes to Terms
We may update these Terms from time to time. The revised version will be posted on this page with an updated effective date. For significant changes, we may provide notice on our website. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
